Terms of Service

These Terms of Service ("Terms") govern your access to and use of FARMMETRIC, a software-as-a-service platform operated by Sattva Technologies LLC ("we," "us," or "our"). By accessing or using FARMMETRIC, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using any part of FARMMETRIC, you confirm that you have read, understood, and agree to these Terms. If you are using FARMMETRIC on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Description of Service

FARMMETRIC is a plant tracking and compliance management platform designed to assist licensed facilities in tracking plant movements, harvests, inspections, maintenance, and related operational data. FARMMETRIC is intended to complement — not replace — your obligations under applicable state regulations and Metrc reporting requirements.

3. License & Restrictions

Sattva Technologies LLC grants you a limited, non-exclusive, non-transferable license to access and use FARMMETRIC solely for your internal business operations. You may not: (a) copy, modify, or create derivative works of FARMMETRIC; (b) reverse engineer, decompile, or disassemble any portion of the platform; (c) resell, sublicense, or otherwise make FARMMETRIC available to third parties; (d) use FARMMETRIC in any manner that violates applicable law.

4. Data & Privacy

You retain ownership of all data you enter into FARMMETRIC ("Your Data"). Sattva Technologies LLC will not sell Your Data to third parties. We store Your Data using industry-standard security practices including row-level security and encrypted connections. You are responsible for ensuring that any data you enter complies with applicable privacy and regulatory requirements.

5. Compliance Disclaimer

FARMMETRIC is a tool to assist with record-keeping and is not a substitute for legal or regulatory advice. You are solely responsible for ensuring your use of FARMMETRIC and any data submitted to regulatory systems (including Metrc) complies with all applicable state and local regulations. Sattva Technologies LLC makes no warranty that use of FARMMETRIC will ensure regulatory compliance.

6. Subscription & Payment

Access to certain features requires a paid subscription. Subscription fees are charged per license per month as described on the pricing page. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension or termination of access.

7. Termination

You may cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms, fail to pay fees, or if required by law. Upon termination, your access to FARMMETRIC will cease, and we may delete Your Data after a 30-day grace period.

8. Disclaimer of Warranties

FARMMETRIC is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Sattva Technologies LLC does not warrant that the service will be uninterrupted, error-free, or completely secure.

9. Limitation of Liability

To the maximum extent permitted by law, Sattva Technologies LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of FARMMETRIC, even if advised of the possibility of such damages. Our total liability to you for any claim arising from these Terms or your use of FARMMETRIC shall not exceed the fees you paid in the three months preceding the claim.

10. Intellectual Property

FARMMETRIC and all associated software, designs, trademarks, and content are the exclusive property of Sattva Technologies LLC. "FARMMETRIC" is a trademark of Sattva Technologies LLC. Nothing in these Terms grants you any right to use our trademarks, logos, or brand names without prior written consent.

11. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Massachusetts.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice within FARMMETRIC. Continued use of FARMMETRIC after changes take effect constitutes acceptance of the revised Terms.
